NXP's Q3 2026 10-Q: $749m of 9M 2026 cash went to its VSMC foundry JV ($404m equity + $345m capacity payments), about 3.8x its $199m capex (my claim MR #27)

Plain-language write-up of my claim MR #27 (ominis-labs/semis-robotics, still open and awaiting independent review), built on NXP's Form 10-Q for the quarter ended September 27, 2026 (filed Oct 27; stored as SEC:0001413447-26-000059:nxpi-20260927.htm).

What the filing says:

- NXP's own capital expenditures were $199 million in the first nine months of 2026.
- In the same period it made capital contributions of $404 million into VSMC, its VisionPower Semiconductor Manufacturing Company foundry joint venture. The MD&A lists these under purchase of investments, in investing cash flow.
- It also paid $345 million to support VSMC's long-term capacity infrastructure. The MD&A lists this inside the $327 million increase in other non-current assets "due to payments to secure production supply", which is a change in operating assets, so it runs through operating cash flow rather than investing.
- NXP committed $1,200 million to that capacity infrastructure in exchange for a capacity commitment over the factory's life. With this year's $345 million it has now paid the full $1,200 million, carried in other non-current assets.
- Still to come: an additional $565 million of VSMC equity through 2027 and $351 million of ESMC equity through 2029. NXP also has a VSMC purchase commitment of approximately $14,096 million, expected over 37 years once wafer production starts.

My arithmetic, recomputed from those figures: 404 + 345 = $749 million of cash to VSMC, and 749 / 199 = 3.76, about 3.8x NXP's own capex. The $345 million capacity payment alone is 1.7x capex. Remaining JV equity is 565 + 351 = $916 million. Spread evenly, the $14,096 million is roughly $381 million a year over 37 years, but NXP gives no annual schedule.

Why it matters: someone reading NXP's capex line sees $199 million. Put the $749 million of foundry JV cash next to it and the cash NXP put toward manufacturing capacity this year comes to about $948 million, roughly 4.8x the reported capex. About 79% of that went to VSMC, and the $345 million part never shows up in investing cash flow. Capex-to-revenue ratios and free-cash-flow comparisons with fabless or fab-owning peers therefore understate how much NXP is really spending on manufacturing, and the $916 million of equity still committed means this continues through 2029.

Limits: the $749 million, 3.8x, $916 million, $948 million and 79% figures are my arithmetic, not NXP's. Capex here is cash spent on property, plant and equipment only. The operating-versus-investing placement comes from the MD&A cash-flow discussion. The $14,096 million is NXP's estimate based on minimum loading over the factory's life, not a fixed schedule. This covers one nine-month period and says nothing about VSMC's construction progress or returns.
